Standard Terms and Conditions

PART 1: 

1.  The client waives its own terms, even if provided later. Any changes must be agreed in writing beforehand.
2. Mentioned upfront payment is required to commence work
3. Deliverables & IP transfers will be done after full payment clearance
4. The quotation includes only service charges. All additional costs, including courier charges and hardware procurement expenses, will be billed separately and will be borne by the client.
5. "R&D by Ardra Lab, ardralab.com" will be printed on PCB (its waive of will be notified separately)
6. Quotation valid for 10 days
7. Based on experimental elements Lead time and Quotation is subject to change during development
8. If the data shared by customers violates the intellectual property rights of any entity, the customer themselves will be responsible for the consequences.
9. Due to the nature of RnD Activity, Customer is responsible for payment of all man-hours spent on R&D, irrespective of outcome usability in case of project termination. We strive to achieve desired outcomes for our customers.

PART 2: 

1. Invoices are payable within 21 working days unless stated otherwise. Late payments incur 10% interest, and ARDRA LAB may suspend services without notice.
2. If payment is overdue by more than 60 days, ARDRA LAB may engage a debt recovery procedure which includes waiving off the NDA signed. All related legal fees will be charged to the client.
3. Clients are responsible for any withholding taxes under their local laws. ARDRA LAB must receive the full invoice amount and is not liable for local tax costs.
4. ARDRA LAB aims to deliver high-quality services on time but does not guarantee specific results. It cannot be held liable in claims involving the client and third parties.
5. Claims must be sent by registered mail to ARDRA LAB’s office within 8 days of delivery or service.
6. All agreements are governed exclusively by Indian law
